These Terms of Service (“Terms”) govern the use of services provided by Foundation Fleet Services (“Company,” “we,” “our,” or “us”), including our website, customer portal, and operational services related to fleet parts sourcing and management.
By accessing our website, submitting requests, or using our customer portal, you agree to these Terms.
1. Services Provided
Foundation Fleet Services provides operational support services related to fleet parts sourcing, order tracking, vendor coordination, and operational reporting.
Services may include:
Parts sourcing and procurement coordination
Vendor communication and follow-up
Order tracking and status updates
Invoice organization and price tracking
Access to a customer portal displaying operational data and request history
Services may vary depending on the service plan or agreement between the Company and the customer.
2. Customer Responsibilities
Customers agree to:
Provide accurate and complete information when submitting parts requests
Maintain accurate contact and billing information
Ensure that authorized personnel access the customer portal
Review orders, communications, and documentation provided through the portal
Customers remain responsible for final approval of purchases and operational decisions related to their fleet.
3. Portal Access
Customers may be provided access to a secure online portal to view order statuses, operational data, and documentation.
Customers are responsible for:
Maintaining the confidentiality of login credentials
Ensuring that only authorized users access the portal
Not sharing login credentials between individuals
The Company reserves the right to suspend or revoke access if misuse is detected.
4. Billing and Payment
Services are billed according to the pricing structure agreed upon during onboarding.
Invoices may be issued on a recurring monthly basis unless otherwise specified.
Payments are due according to the terms stated on each invoice.
Failure to pay invoices may result in suspension of services or portal access.
5. Service Limitations
Foundation Fleet Services assists with sourcing and coordination but does not manufacture, distribute, or guarantee the availability of parts.
We cannot guarantee:
vendor inventory levels
delivery timelines
manufacturer lead times
We make reasonable efforts to provide timely sourcing and communication.
6. Limitation of Liability
To the maximum extent permitted by law, Foundation Fleet Services shall not be liable for indirect, incidental, or consequential damages resulting from the use of our services.
This includes but is not limited to:
operational downtime
delays caused by third-party vendors
lost revenue resulting from equipment downtime
7. Termination
Either party may terminate service with written notice as outlined in the Cancellation Policy.
Upon termination:
portal access may be removed
active requests will be closed or transferred
historical data may be retained for a limited period
